Terms of Use

1. Agreement and operator

These Terms of Use form an agreement between you and Modern Investment Holdings Limited (“Neylo,” “we,” “us,” or “our”), operator of Neylo - AI Girlfriend, published on Google Play under the developer name CHUYUNBODA.

By downloading, accessing, purchasing through, or using Neylo, you accept these Terms and the Privacy Policy. If you do not agree, do not use the Service.

2. Adult eligibility

You must be at least 18 years old and legally capable of entering this agreement. Neylo is not offered to minors. You must not misrepresent your age, help a minor obtain access, or create content that sexualizes, exploits, grooms, or otherwise endangers a child. See our Child Safety Policy.

3. Account responsibilities

You agree to provide accurate account information, safeguard login credentials, and promptly notify us of suspected unauthorized use. You are responsible for activity under your account to the extent permitted by law. An account or coin balance may not be sold, rented, transferred, or shared for commercial access.

4. What Neylo provides

Neylo lets you converse with AI-generated virtual characters, configure and generate AI characters, and request AI-generated images. Characters may present styles, backstories, personalities, or conversational themes, but they are software-generated simulations—not human beings, licensed professionals, or real romantic partners.

You remain responsible for decisions and actions based on output. In an emergency or when you may harm yourself or another person, contact local emergency services or a qualified professional rather than an AI character.

5. Prompts, uploads, characters, and generated output

You retain any rights you hold in prompts, reference images, character instructions, and other material you submit (“User Material”). You grant us and our service providers a worldwide, non-exclusive, royalty-free license to host, reproduce, transmit, transform, and process User Material only as reasonably necessary to operate, secure, moderate, support, and improve Neylo.

You represent that you have the rights and permissions needed for User Material, including any person’s image, name, or personal information. Do not upload private or intimate material of another person without valid consent.

Subject to applicable law and third-party rights, you may use generated output for lawful personal purposes. Because AI can produce similar output for different users and laws concerning AI output vary, we do not promise that output is unique, accurate, non-infringing, or eligible for copyright or other exclusive rights.

6. Photos and gallery access

Neylo may access a photo you select from your photo library or the Android system image picker so that you can use it as a reference for character or image generation. Do not upload another person’s image without permission. You may manage photo access in Android settings; refusing access may disable features that require a selected image.

7. AI safety and prohibited conduct

You must not use Neylo, its prompts, character tools, image generator, or output to create, request, store, promote, or facilitate:

• child sexual abuse material (CSAM), child sexual abuse or exploitation (CSAE), grooming, sexualization of minors, trafficking, or age-play involving a minor;
• pornography, sexually gratifying services, sexual coercion, non-consensual intimate content, or sexual deepfakes;
• impersonation, deceptive synthetic media, scams, forged official documents, academic dishonesty, or unlawful surveillance;
• credible threats, harassment, hate, terrorism, graphic violence, self-harm encouragement, dangerous instructions, or illegal activity;
• malware, credential theft, security circumvention, unauthorized access, scraping, reverse engineering, or interference with the Service;
• content that infringes privacy, publicity, copyright, trademark, or other rights.

You must not attempt to defeat safeguards, conceal prohibited prompts, or repeatedly regenerate restricted content after a warning.

8. Reports, review, and enforcement

Use Neylo’s in-app report or flag function to report an offensive AI message, character, or image without leaving the App. We may review the reported output, relevant prompt context, account activity, and technical signals; filter or remove content; restrict generation; deduct improperly obtained digital items; suspend or terminate accounts; preserve evidence; and report conduct where required by law.

Moderation may involve automated tools and human review, and errors can occur. You may contact beguilbedna@gmail.com to request review of an enforcement decision, subject to safety, legal, and security limits.

9. Coins

Coins are consumable virtual items purchased through Google Play Billing. Coins may be spent only within Neylo for eligible AI chat usage, AI character generation, and AI image generation at the amounts displayed before or during the relevant action.

• Coins are not money or property, have no cash value, and cannot be transferred, sold, withdrawn, or exchanged for cash.
• A completed generation or eligible processing attempt may consume coins as disclosed, even if you dislike the output, unless law or an applicable refund policy requires otherwise.
• We may correct balances affected by technical error, duplicate credit, chargeback, refund, fraud, or unauthorized acquisition.
• Deleting the account permanently removes the remaining coin balance.

10. Billing and refunds

Google Play processes coin purchases. Purchase authorization, cancellation, chargeback, and refund requests are governed by Google Play terms and applicable law. Coin packages do not automatically renew. Deleting Neylo does not itself create a refund.

11. Our intellectual property

Neylo, its software, interface, branding, documentation, and service-generated systems are owned by or licensed to us and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use Neylo for personal, lawful purposes under these Terms. No other rights are granted.

12. Service changes and availability

AI models, limits, coin costs, character behavior, image styles, and other features may change as the Service, technology, safety requirements, or law evolves. We do not guarantee uninterrupted availability, retention of every conversation or output, compatibility with every device, or a particular model response.

13. Suspension, termination, and deletion

We may restrict content or suspend or terminate access when reasonably necessary for a material breach, fraud, payment abuse, safety risk, legal requirement, or protection of the Service. Where appropriate and legally required, we will provide notice or a review opportunity.

You may delete your account through Profile > Settings > Account > Delete Account or the Account Deletion page. Account deletion removes the remaining coins and access associated with that account, subject to limited lawful retention.

14. Disclaimers

To the extent permitted by applicable law, Neylo is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that AI output is truthful, safe for every context, original, lawful for your intended use, emotionally appropriate, or free of errors.

Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by applicable law, Modern Investment Holdings Limited and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, output, goodwill, opportunity, or profits arising from Neylo. Any limitation applies only to the extent lawful and does not exclude liability that cannot be limited.

16. Indemnity

To the extent permitted by law, you will indemnify and hold harmless Modern Investment Holdings Limited and its personnel from third-party claims arising from your unlawful User Material, prohibited use, infringement of another person’s rights, or material breach of these Terms. This does not apply to the extent caused by our unlawful conduct.

17. Applicable law and disputes

These Terms are governed by the laws applicable to the parties, the Service, and the transaction, without depriving you of mandatory consumer protections in your place of residence. Before starting formal proceedings, the parties should make a reasonable good-faith effort to resolve the issue through the contact below. A dispute may be heard by a court with competent jurisdiction.

18. Changes and general terms

We may update these Terms for product, legal, safety, or operational reasons. We will update the effective date and provide notice where required. If one provision is unenforceable, the remaining provisions continue. A delay in enforcement is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer as permitted by law.
